Good question. It's a close call. 49ers should have to toss in a 4th rounder as well, or maybe next years 3rd and 4th rounders. Also, if you buy into the fact that the Texans have inked Williams 100%, the #2 pick overall is worth even more.
There's a point system that's very accepted by NFL insiders. Here's a good article that talks about it.

My friend gave me 5-1 that Reggie Bush would not be starting in the NFL in 2008. I had to take it.
I can't figure out why Houston didn't trade down, with the intention of taking D'Brickashaw or someone.

Funny thing about trading down is that you need a buyer if you are selling the spot. I thought Texans would get some offers, but apparently none were good enough. Texans should be more than happy inking Williams, though. Plenty worthy of the #1 overall. I think sometimes the "flash" positions like RB and QB get everyone ahead of themselves.
Kinda reminds me back in 1991 when Dallas Cowboys took DT Russell Maryland #1 overall in the draft. There was plenty of head scratching amongst the general public, but it was the money move. I realize the situation is somewhat different with the Texans of 2006 who are missing plenty of pieces, whereas Dallas was virtually already a complete team in 1991.
