You dont BUT...... check out the fees at your sectary of state's web site for doing business as an out of state company. Thats where they nail you. I originally registered SBR in Delaware. Then I found out there was I think it was a $1500 fee from Texas. Plus they write the rules so tight that even breathing counts as doing business in that state. States cross reference tax returns so they will get you. Texas is very aggressive in collecting that fee btw.
